BY-LAWS OF THE LOSTCREEK BASS CLUB OF MISSOURI LLC

Member of B.A.S.S. Federation Nation Chapter

Article I – Name

Section 1. The name of this organization shall be Lostcreek Bass Club of Missouri LLC.

Article II- Purpose

Section 1. Working for conservation of FISH and wildlife and to help bass angling through education.

Section 2. To improve our skill as bass anglers through a fellowship of friendly exchange of expert bass catching techniques and ideas.

Section 3. Participation in tournaments.

Article III – Membership

Section 1. Numbers of members shall not exceed 24.

Section 2. Types of members: Active members – any member who has been introduced and sponsored by a member into the club and whose dues are current.

Section 3. Eligibility:

(a) Any person of good character with a sincere interest in bass fishing and conservation of fish and wildlife. All applicants for membership shall be brought before the general membership for orientation and approval; approval must be 100% unanimous vote by secret ballot only.

(b) Be a member of BASS (See Article XII for affiliation requirements.)

Section 4. Inactive members:

Inactive membership will not exceed (2) Two.

Inactive members must attend at less (2) Two monthly meetings per year. (Oct. – Aug.)

Inactive members shall pay 1/3 of active club dues. $24.00 payable by January.

Inactive members will not be allowed to participation in any Club Tournaments except when allowed by The Board of Directors.

For an active member to become Inactive, they must first submit a request in writing Stating reason for Inactive Membership; which will be submitted to the Board Of Directors for approval.

If an inactive member wants to become active; they must pay dues up to current standing.

If Club Membership is full, inactive member must wait for opening in Club Membership.

Inactive members will be allowed to Vote on (Officers Only). They will follow the By-Laws of Lost Creek Bass Club——-Article IV Section 4.

Section 5. Requirements for Junior Membership*

To become a junior member of an adult chapter, a person shall: (a) voluntarily express a genuine interest in membership.

(b) Be under 16 years of age.

*Junior members are not required to pay national membership dues and are not entitled to the benefits of a regular member. The acceptance of junior members will not affect a club’s liability insurance policy. Junior members are not covered by the accidental death and dismemberment policy. Junior members may not hold office in an adult club nor may then be voting members. At age 16, junior members may continue membership by joining the club as a regular member. Junior membership ceases on a person’s 16 birthday.

Article IV – Officers

Section 1. The elective officers of the club shall be six officers.

Section 2. (a) Officers shall be nominated and elected by the membership body.

(b) Officers shall be nominated in elected in August of each year at the regular monthly meeting.

(c) Officers shall include President, vice-president, Secretary, Treasurer, Conservation Director, Youth Director.

Section 3. Duties of Officers:

Officers shall conduct the affairs of the Chapter in a manner consistent with these Bylaws. To Protect the Chapter, B.A.S.S. Federation Nation members and B.A.S.S., Chapter Officers may not hold positions higher than the club level within any other bass federation-type organization including but not limited to TBF/FLW. In addition, the State B.A.S.S. Federation Nation board is required to be comprised of members who are free to serve the State Board Members and Officer will not be allowed to hold positions with any other bass federation-type organization will not be allowed to hold an office within the B.A.S.S. Federation Nation at any level.

(a) The President shall preside at all business meeting and shall appoint all committees as required, and be an ex-officio member of all committees.

(b) The Vice-President shall assist the President and set in his absence.

(c) The Secretary shall keep the minutes of all meetings, record names of attending members and read the minutes of the previous meeting.

(d) The Treasurer shall keep a record of all receipts and disbursements and shall render a report of the same when requested. He also will be responsible for the disbursement of club emblems which will be in his keeping before disbursement.

(e) Conservation Director: Serve as liaison between the chapter and state and national conservation/ environmental agencies. Plan chapter conservation projects and attend all local and state conservation meetings/hearings.

(f) Youth Director: Organize all youth activities and programs. Coordinate Bassmaster CastingKids® events and start a Junior Bassmaster Chapter when the chapter is ready for this sponsorship.

Section 4. Eligibility to vote: Each member is entitled to one vote. Proxy votes are not permitted, unless the member is working at the time of the vote.

Section 5. Term of office: The term of office is one year. It shall begin on September 1 and end on the last meeting day of August or until the Successor assumes office. Original slate of officers shall serve until the last meeting day of the following August.

Section 6. Vacancies: In the event an office becoming vacant, nominations shall be asked and an election held to fill the unexpired term of the individual vacating the office.

Section 7. Eligibility for holding office:

(a) Have been a member for six months.

(b) Have attended at least 50% of the chapter meetings and 50% of the chapter functions.

(c) Have shown an active interest in all chapter functions.

(d) Disqualification for any reason from participating in BASS sponsored events, including disqualification for use of drugs or alcohol.

Article V – Meetings

Section 1. Regular meetings shall be held the first Monday of each month at 6:30 p.m. from March thru October.

Section 2 Regular meeting from November thru February will begin at 6:00 pm.

Section 2. Meetings may be called when deemed necessary by the officers after giving the membership advance notice of seven days.

Article VI – Dues

Section 1. Monthly dues shall be $8.00 and shall be paid one year in advance, (Members have until the January meeting to pay in full.) Yearly dues of $30.00 (or current rate) for B.A.S.S. Federation Nation membership and $30.00 (or current rate) of which shall be for Chapter dues, these dues will be added on top of the Monthly dues, (Members will pay these dues at the October meeting.) The monthly dues shall be prorated according to the month that the member joined during the year with the exception of the B.A.S.S. Federation and Chapter dues.

Article VII – Expulsion of Members

Section 1. Cause for expulsion:

(a) Non-payment of dues for a period of three months and ten days.

(b) Any action which would reflect dishonor and disgrace on this chapter or the B.A.S.S. Federation.

(c) Unsportsmanship – The threatening of any club officers, members, the club or B.A.S.S. itself with violence, subterfuge, legal action or other ungentleman like behavior shall be considered grounds for expulsion. A member may be expelled for the above causes by a 2/3 majority vote of the active attending members and approval of the Director.

(d) Membership in another bass club other than Bass.

(e) Failure to attend eighteen (18) of the club’s twenty-four (24) yearly events. Except for being job related.

Section 2. In the event a member having expulsion charges brought against him, the club President will inform the member of the charges with dates and details by registered letter so that he can meet with the Directors and answer the charges.  The Directors will then dismiss the charges or bring the charges before the general membership at the club meeting following.

Article VIII – Club Funds

Section 1. All funds received by the club shall be placed in a suitable depository. The signature of any two of the three elected officers (President, Vice president, Financial Sectary) is required for any disbursement.

Section 2. All funds received shall be used for the operation and advancement of the club. The club shall not be operated for profit for itself nor any other person or entity.

Article IX – Amendments

Section 1. The by-laws may be amended by submitting any such amendment at any meeting, Passed by 2/3 Majority vote of the active attending members, provided one month’s Prior notice has been given.

Article X – Rules of Order

Section 1. Any procedure not defined in these by-laws will be governed by “Robert’s Rules of Order.”

Article XI – Board of Directors

Section 1. The board of Directors shall consist of six members, of which will be made up by the four elected officers (President, Vice President, Recording Secretary/ Treasurer), 3 remaining members shall be nominated and voted on by the acting body.

Section 2. Duties of Board of Directors:

(a) To govern or make final decisions on any specific issue pertaining to the Lost Creek Bass Club not covered in the by-laws.

(b) To hear and make judgment of any grievance bought against any member of official of the Lost Creek Bass Club.

Article XII – Affiliation

Section 1. Requirements for Affiliation:

(a) Approval of Chapter Charter by BASS.

(b) Update BASS with chapter membership roster once each year upon receipt of current BASS roster at year’s end.

(c) Names and addresses of new members joining the chapter during the year must be submitted to BASS as they occur. (See Article III, Section 3 Eligibility and Section VI – Dues.

(d) Maintain 100% BASS membership.

(e) Must affiliate with State Federation and support its conservation and youth programs. Any additional requirement that the State Federation establishes for chapter, such as membership, dues, attendance at meetings, etc., would be necessary for the chapter to participate in the State Federation qualifying tournament(s) , and any other Federation-sponsored tournaments or events.
